Terms of Service of Czat AI · Iwaszka

This is a translation provided for convenience. The Polish version is binding. Polish version

§ 1. Who provides the Service and for whom

  1. The “Czat AI · Iwaszka” service (the Service) is provided by Jacek Iwaszkiewicz, conducting business under the name Iwaszka Jacek Iwaszkiewicz, Odonów 168, 28-500 Kazimierza Wielka, Tax ID (NIP) 795-25-38-265, email kontakt@iwaszka.pl (the Service Provider).
  2. The Service is intended for entrepreneurs and institutions that run a website, an online shop or a system (the Client). The contract is concluded in connection with the Client’s business activity.
  3. Where the Client is a natural person running a sole-trader business for which the contract is not of a professional nature, that person enjoys the protection provided for consumers with regard to unfair contract terms, statutory warranty and the right to withdraw from a distance contract.

§ 2. What the Service includes

  1. AI chat on the Client’s website — a chat window in which an assistant based on an artificial intelligence model answers visitors solely on the basis of the public content of the Client’s website and the rules agreed with the Client.
  2. In every package: the assistant’s knowledge, taken from the public subpages of the Client’s website and refreshed automatically every few hours; passing on enquiries by email (“Write to us” — an enquiry with a record and a summary of the conversation is sent to the address indicated by the Client); the client panel czat.iwaszka.pl/konto (conversations, enquiries, suggested improvements, settings, including words the assistant is not to use); suggested improvements based on unanswered questions — they take effect only after the Client’s decision.
  3. The “Shop” and “Shop Pro” packages additionally include searching the shop’s catalogue, with product cards and an “Add to cart” button (for supported shop systems).
  4. The “Shop Pro” package also includes support at every stage and free analyses of conversations and unanswered questions.
  5. Conversation preview in the Client’s system (a window with a list and the content of conversations, e.g. for the Client’s telephone support) — at the Client’s request: included in the price in the “Shop Pro” package, and as a paid add-on at an individual quotation in the “Website” and “Shop” packages. Email addresses and telephone numbers are masked in the preview; the Client secures access to the window in its own system.
  6. The Service does not include a live conversation with a person, handling orders and payments on the Client’s behalf, or legal, medical or financial advice.

§ 3. Packages and prices

  • Website — up to 300 conversations per month, 149 PLN net per month; set-up included with an annual contract, 990 PLN net with a monthly contract.
  • Shop — up to 1,000 conversations per month, 449 PLN net per month; set-up included with an annual contract, 2,490 PLN net with a monthly contract.
  • Shop Pro — up to 2,500 conversations per month, 899 PLN net per month; set-up included with an annual contract, 2,490 PLN net with a monthly contract.
  1. VAT is added to the prices at the applicable rate.
  2. A conversation is a visitor’s conversation containing at least one question answered by the assistant, counted across all of the Client’s websites in a calendar month. The following are not counted: conversations sent straight to the “leave a message” mode, conversations from the time when the chat is visible only to the Client (test mode with the ?czat=1 address), test conversations with the ?czat=test address, and the Service Provider’s tests.
  3. After the package limit is used up the chat does not disappear from the website — it switches to the “leave a message” mode: instead of an answer, it offers the visitor the option of sending a message to the Client by email. We do not charge fees for conversations above the limit. The Client may at any time move to a higher package with effect from the current month (a proportionate additional payment applies).
  4. The Client may set a lower conversation limit for an individual website in the panel.

§ 4. Pilot

  1. A new Client may use a free 30-day pilot. The Pilot includes the features of the selected package and set-up.
  2. In return, the Client agrees to the Service Provider preparing a description of the set-up (a case study). The description does not contain the number of conversations or other traffic data unless both parties agree to this in documentary form; before publication the Client receives the description for approval.
  3. After the Pilot, the Service continues only if the Client selects a package and a contract term. Without that decision the chat is switched off and the data are deleted in accordance with § 10.

§ 5. Conclusion of the contract, term and termination

  1. The Client orders the Service via the form or by email. The Service Provider confirms the order by creating an account for the Client in the panel (the “account ready” email). The contract is concluded upon acceptance of these Terms and conclusion of the data processing agreement in the client panel — the panel records the version of the documents, the date and the account.
  2. Monthly contract — for an indefinite period, with a billing period of a calendar month. Either party may terminate it with one month’s notice, effective at the end of a calendar month.
  3. Annual contract — for 12 months. Before the end of that period it may be terminated only for good cause (§ 5(4)). After 12 months it becomes a monthly contract, unless the parties agree on a further year.
  4. Either party may terminate the contract with immediate effect if the other party grossly breaches the contract and does not remedy the breach within 14 days of being called upon to do so. The Service Provider may also do so if the Client is more than 30 days in arrears with payment.
  5. Notice of termination — by email to kontakt@iwaszka.pl or to the Client’s account address.

§ 6. Payments

  1. The subscription fee is payable in advance for each month (with an annual contract — in advance for a month or for a year, at the Client’s choice), on the basis of an invoice, within 7 days of its issue.
  2. The set-up fee (monthly contract) is payable after the chat is launched on the Client’s website.
  3. If payment is delayed by more than 14 days, the Service Provider may — after prior notice by email — switch the chat to the “leave a message” mode until payment is made.

§ 7. Client’s obligations

  1. The Client ensures that it has the right to the website content used by the assistant and that the website content (prices, deadlines, terms) is up to date — the assistant repeats what is on the website. An error on the website is corrected on the website; the assistant will pick up the correction at the next refresh of its knowledge.
  2. The Client includes in its website’s privacy policy a section on the chat (ready-made text is in the panel, under Settings) and — if the website uses a consent window — decides on the placement of the chat button.
  3. The Client shall not use the Service for unlawful content, for advertising medical devices to persons to whom it is prohibited, for circumventing safeguards, for sending unsolicited commercial communications, or for collecting special categories of data (e.g. health data).
  4. The Client indicates an email address for enquiries (in the domain of its website or the account address in the panel) and replies to visitors who left a message.

§ 8. Artificial intelligence — transparency and responsibility for answers

  1. Throughout the conversation the chat window informs the visitor that an AI assistant is answering (the “AI” mark, a name containing “AI assistant”, the caption “AI answers · may make mistakes”). The assistant does not pose as a human.
  2. The assistant answers solely from the content of the Client’s website and the agreed rules; numbers (prices, deadlines) and addresses pass through a filter that stops a sentence containing a value from outside those sources. Even so, the answers of an AI model may contain errors.
  3. Towards visitors to the Client’s website, the Client is responsible for the information given through the chat — the chat acts on the Client’s behalf and on the basis of the Client’s content. The Service Provider is responsible towards the Client for the proper functioning of the Service (conformity of answers with the website content and the rules, operation of the filters, passing on of enquiries).
  4. The Service Provider’s liability towards the Client under the contract is limited to actual damage and to the amount of fees paid by the Client in the last 12 months. The limitation does not apply to damage caused intentionally, nor to a Client referred to in § 1(3), to the extent that the law does not allow it.
  5. The Client reviews the suggested improvements; improvements take effect only after the Client’s decision.

§ 9. Personal data

  1. As regards the data of visitors to the Client’s website (content of conversations, data provided in “Write to us”, data of the shop’s customer accounts), the Client is the controller, and the Service Provider processes it on the Client’s behalf under the data processing agreement, concluded in the panel together with acceptance of the Terms.
  2. The Service Provider uses the sub-processors listed in the data processing agreement (the AI model provider, server, email and backups).
  3. As regards the data of persons acting on behalf of the Client (account in the panel, correspondence, invoices), the Service Provider is the controller — the rules are in the privacy policy.

§ 10. Data retention and deletion

  1. Conversations are stored for 90 days from the last message, and conversations in which an enquiry was sent, as well as conversations of logged-in shop customers, for 12 months. The visitor’s IP address is not stored — only a one-way hash of it.
  2. Database backups are encrypted (AES-256) and stored for up to 30 days (daily backups) and 12 months (monthly backups).
  3. After the contract ends, the Service Provider — at the Client’s choice — provides the Client with an export of conversations from the panel and deletes the data within 30 days (backups expire within the periods set out in § 10(2)).

§ 11. Availability and changes to the Service

  1. The Service Provider makes efforts to ensure that the Service operates without interruption. It informs the Client of planned work by email in advance and, where possible, carries it out outside the hours of 8:00–20:00.
  2. In the event of overload or failure of the AI model provider, the chat switches to the “leave a message” mode — the visitor may leave a message by email.
  3. The Service Provider may change the AI model to another model whose answers are of no lower quality; it informs the Client of a change of the model provider 14 days in advance (data processing agreement — change of sub-processor).

§ 12. Complaints

  1. Complaints — to kontakt@iwaszka.pl; we reply within 14 days.
  2. For each full day of unavailability of the Service due to the Service Provider’s fault (above 24 hours in a month), the Client may demand a reduction of the fee for the given month by 1/30.

§ 13. Changes to the Terms and final provisions

  1. The Service Provider may change the Terms for important reasons (a change in the law, a change of providers, new features), informing the Client by email at least 14 days in advance; the Client accepts the new version in the panel. A Client who does not accept the changes may terminate the contract with effect from the day they enter into force.
  2. Matters not regulated here are governed by Polish law. Disputes are resolved by the court competent for the Service Provider’s place of business — except for disputes with a Client referred to in § 1(3), for which jurisdiction is determined by the general provisions.
  3. The Terms are also available in English — for convenience only. In the event of any discrepancy, the Polish version prevails.
